1. Introduction

Each project or service is governed by the specific scope of work outlined in your proposal, contract, or invoice.
3. Client Responsibilities
Clients agree to:
- Provide timely access to required materials (such as images, logos, credentials, or text)
- Supply accurate and legally owned content
- Respond to communication, feedback requests, and approvals within reasonable timeframes
Delays in providing required materials may cause project delays. We are not responsible for timeline extensions caused by client inaction.
Clients are solely responsible for ensuring content they supply does not infringe on copyright or intellectual property rights.
4. Payment Terms
Payment terms will be outlined in your proposal or invoice. Work may pause or be delayed if payment is not made on time.
We reserve the right to withhold final files, website access, or deliverables until all outstanding balances are paid in full.
Late or unpaid invoices may result in suspension of services.
5. Revisions
Each service includes a set number of revisions, as stated in your contract or proposal. Revisions are intended to refine existing work—not redo the project.
Additional revisions beyond the agreed limit may incur extra fees.
6. Intellectual Property
Work produced by KRA Marketing Solutions remains our intellectual property until all payments are completed.
After full payment:
- Final deliverables become the client’s property
- Draft files, working files, and unused concepts remain owned by KRA Marketing Solutions
- We reserve the right to showcase completed work in portfolios, websites, and marketing materials unless you request otherwise in writing
Content supplied by the client remains the client’s property.
7. Third-Party Tools & Platforms
Some services require the use of third-party platforms (e.g., Meta Ads Manager, Google My Business, Canva, WordPress, Stripo, etc.).
We are not responsible for:
- Downtime, outages, or errors on those platforms
- Algorithm or policy changes
- Performance drops caused by external systems
Clients are responsible for maintaining ownership of their own accounts and platforms unless contractually stated otherwise.
8. Confidentiality
We treat all client information as confidential and will not share sensitive materials with outside parties unless:
- You give written consent, or
- Disclosure is required by law
9. Termination
Either party may terminate the agreement in writing.
If a client terminates early:
- You will be invoiced for all completed work up to the termination date
- No refunds are issued for completed work or partially completed deliverables
If KRA Marketing Solutions terminates the agreement, you will receive all deliverables already paid for.
10. Limitation of Liability
To the fullest extent permitted by law:
- KRA Marketing Solutions is not liable for indirect, incidental, or consequential damages
- We cannot guarantee specific marketing results, performance levels, ranking positions, or sales outcomes
- We are not responsible for issues arising from third-party platforms, hosting providers, or client-side errors
Your use of our services is at your own risk.
11. Governing Law
These Terms are governed by the laws of the State of North Carolina. Any disputes will be handled exclusively in North Carolina courts.
12. Updates to These Terms
We may modify these Terms at any time. Updates will be posted on our website. Continued use of our website or services means you accept any revised Terms.
